Terms of Use

These Terms of Use (“Terms”) govern access to the Replay Trader website, waitlist, and any early-access or paid product features. By accessing or using Replay Trader, you agree to these Terms. If you do not agree, do not use the service.

1. The service

Replay Trader provides simulated trading practice on historical market situations (including randomised historical NSE-style sessions). Features may include chart replay, simulated trades, notes, practice history, and related analytics concepts. Features marked as planned, conceptual, or illustrative may not be available at launch.

Replay Trader is not a stock broker, commodity broker, exchange, clearing house, portfolio manager, investment adviser, or research analyst. Replay Trader does not execute real-money trades and does not hold client funds or securities.

2. Eligibility

You must be at least 18 years old and able to form a binding contract. You are responsible for complying with laws that apply to you.

3. Waitlist

Joining the waitlist does not guarantee access, pricing, or plan availability. Plan interest selections (including “not willing to spend yet”) are preferences for planning only and are not a purchase. We may invite users in phases and may change launch timing without liability.

4. Accounts

If authentication is enabled, you must provide accurate information and keep credentials secure. You are responsible for activity under your account. We may suspend or terminate accounts for abuse, security risk, or Terms violations.

5. Plans and payments

Published prices (for example Practice Pass at ₹299 / 30 days, Coach Pass at ₹599 / 30 days) are planned launch pricing unless we state otherwise. Paid subscriptions, billing cycles, taxes, and refunds will be described at checkout when payments go live. Until then, waitlist signup is free and creates no payment obligation.

6. Acceptable use

You agree not to:

• Misrepresent Replay Trader as a broker or source of live trading execution.
• Attempt unauthorised access, scrape in abusive ways, or disrupt the service.
• Upload unlawful, infringing, or harmful content.
• Use the service to provide regulated investment advice to others unless you are properly licensed and the product expressly supports that use (it currently does not).
• Reverse engineer or copy the product except as allowed by applicable law.

7. Market data and simulations

Historical charts and outcomes are for practice and education. Data may be incomplete, delayed, adjusted, or illustrative. Simulations are not identical to live market conditions, slippage, liquidity, or brokerage costs. Do not treat practice results as predictions of future performance.

8. No investment advice

Nothing on Replay Trader is investment, tax, or legal advice. Pattern discovery, analytics, and “niche” insights — including conceptual UI — are tools to help you inspect your own practice history. They do not recommend specific securities or guarantee profits.

9. Intellectual property

Replay Trader, its software, branding, and content are owned by us or our licensors. You receive a limited, revocable, non-exclusive licence to use the service for personal practice as permitted by your plan. You keep ownership of notes and practice records you create; you grant us a licence to host and process them to provide the service.

10. Disclaimers

The service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant uninterrupted or error-free operation.

11. Limitation of liability

To the fullest extent permitted by law, Replay Trader and its operators will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, trading losses, or data loss, arising from your use of the service. Our aggregate liability for claims relating to the service will not exceed the greater of (a) amounts you paid us for the service in the three months before the claim or (b) INR 2,000, if you have not paid us.

12. Indemnity

You will indemnify and hold us harmless from claims arising out of your misuse of the service, your violation of these Terms, or your violation of law.

13. Changes and termination

We may modify the service or these Terms. Material changes will be indicated by updating the “Last updated” date (and by notice when appropriate). We may discontinue features or the waitlist. You may stop using the service at any time.

14. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law rules. Courts in India will have exclusive jurisdiction, subject to mandatory consumer protections that apply to you.
